Management Buy-Out CAH-Infra

YES Corporate Finance (“YES CF”) advised the shareholder, Ron Hart, in the Management Buy-Out (MBO) of CAH-Infra B.V. (hereinafter “CAH-Infra”).

Role of YES Corporate Finance:

YES Corporate Finance supported Ron Hart during the MBO of CAH-Infra. The work was carried out in two phases:

Phase 1: Valuation:

• Analysing the provided (financial) documents
• Evaluating the financial forecast
• Preparing an (internal) valuation report
• Exploratory MBO analysis from the seller’s perspective

Phase 2: Preparation, discussion, and signing of the purchase agreement:

• Drafting, (pre)discussing, and negotiating with the manager (buyer) and their advisors
• Evaluating the manager’s offer
• Assisting in conducting discussions with the buyer, negotiations, and structuring the transaction
• Supporting the preparation, review, and finalisation of transaction documents (including the purchase agreement, shareholder’s agreement, management agreement, other agreements, and the financing agreement)
• Closing and finalisation of the Transaction at the notary’s office
